Terms of Service

1. Who we are and what these Terms cover

These Terms of Service (the "Terms") are a binding agreement between you and Core Value Insurance Associates, LLC ("ShopHealthcare," "we," "us," or "our"), a Florida limited liability company with its principal office at 1 Century Lane, Miami Beach, FL 33139. We operate the website at shophealthcare.com and the related tools, content, and services available through it (together, the "Site").

The Terms govern your access to and use of the Site, including our AI enrollment assistant, "Nora." By accessing or using the Site, creating an account, requesting a quote, chatting with Nora, or otherwise interacting with our services, you agree to these Terms. If you do not agree, do not use the Site.

These Terms work together with our other policies, which are incorporated by reference: our Privacy Policy, Cookie Policy, Health Data Practices, Communications Policy, Licensing Disclosures, Accessibility Statement, and Electronic Records and Signatures Consent.

2. What ShopHealthcare is — and is not

This section is important, so we are stating it plainly.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that the information you give us about yourself and any household members is true, accurate, and complete. The Site is intended for users located in the United States, and the products we offer are available only in states where we are licensed (see Licensing Disclosures).

4. Quotes are estimates, not guarantees

Any premium, rate, benefit, eligibility result, savings figure, or plan comparison shown on the Site — including anything generated through Nora or our quoting partner — is informational and an estimate only. It is based on the information you provide and on data from third parties, and it can change.

5. Nora, our AI assistant

"Nora" is an automated, AI-powered tool that helps you explore options, answer questions, gather the information needed for a quote, and move toward enrollment. You agree to the following about Nora:

6. The information you give us

To use our services you may provide information such as your name, email address, phone number, date of birth, ZIP code and state, household and family composition, and answers to basic health and eligibility questions. You may also upload or scan an insurance card using your device camera or file upload, which we process using optical character recognition (OCR). We do not ask for your Social Security number on the Site.

You agree that the information you provide is accurate and that you have the right to provide information about any household members you include. How we collect, use, retain, and share this information — including the insurance card scan — is described in our Privacy Policy and Health Data Practices. Please note: we are not a HIPAA "covered entity," so the health-related information you give us is governed by those policies and applicable state and federal law rather than by HIPAA.

Payment for any coverage you enroll in is collected by the insurance carrier at enrollment, not by us through the Site.

7. Accounts

Some features may let you create or resume a session or account. You are responsible for the accuracy of the information you provide and for any activity that occurs under your session or account. Keep any access link or credentials confidential, and tell us promptly if you believe your account has been accessed without your permission. We may suspend or terminate access to protect the Site or other users, or for violations of these Terms.

9. Intellectual property

The Site, including its text, design, graphics, logos, the "ShopHealthcare" and "Nora" names and marks, and the software and content we provide, is owned by Core Value Insurance Associates, LLC or our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own personal, non-commercial purpose of shopping for and enrolling in coverage. We reserve all rights not expressly granted. Product names such as "Health ProtectorGuard" and carrier marks belong to their respective owners.

10. Third parties, carriers, and links

We work with third parties to operate the Site and our services, including our quoting and eligibility provider (Quotit), our email provider (Klaviyo), advertising and analytics providers (Meta, including its Conversions API, and Google, including Google Analytics 4 and Google Tag Manager), and the insurance carriers who issue coverage. The Site may also link to third-party websites, including carrier sites and enrollment portals.

We do not control, and are not responsible for, the content, products, services, or privacy and security practices of these third parties. Your dealings with any carrier — including your policy, your premiums, your claims, and any disputes — are between you and that carrier under the carrier's own contract and terms. How these third parties handle your information is described in our Privacy Policy and Cookie Policy. We state in our marketing that we never sell your data; the full picture of how we share data with these providers is in the Privacy Policy.

11. Communications

By giving us your contact information, you agree that we may contact you about your inquiry and the services you requested, including by email (consistent with the CAN-SPAM Act; you can unsubscribe from marketing email at any time) and by phone calls to the number you provide. We may use a licensed human agent to follow up with you by phone about coverage.

We do not currently send text messages (SMS). If we launch SMS in the future, we will obtain your prior express written consent at the point we collect your mobile number (for example, through a clearly disclosed consent checkbox in the Nora chat), and message and data rates may apply. 12. Disclaimer of warranties

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Site, Nora, or any quote, estimate, or content will be accurate, complete, current, reliable, uninterrupted, secure, or error-free, or that any product shown will be available, suitable, or result in issued coverage. You use the Site, and rely on any information from it, at your own risk. This disclaimer does not limit any rights you have under applicable law that cannot be waived.

13. Limitation of liability

To the fullest extent permitted by law, Core Value Insurance Associates, LLC and its members, managers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Site, Nora, or any product or quote, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100.00). Because we do not issue insurance or pay claims, we are not responsible for the conduct of, or any coverage decision, denial, or claim by, any insurance carrier. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you; this section does not limit liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Core Value Insurance Associates, LLC and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) information you provide that is false, inaccurate, or that you were not authorized to provide, or (c) your violation of these Terms or of any applicable law or the rights of any third party.

15. Dispute resolution, arbitration, and class-action waiver

We want to resolve any concern quickly and informally. Please contact us first at the address in Section 19, and we will try to work it out.

Arbitration agreement (proposed — being confirmed). We intend for any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally to be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration would take place in or near Miami-Dade County, Florida, or by remote means, and would be governed by the Federal Arbitration Act.

Class-action waiver (proposed — being confirmed). To the extent permitted by law, disputes would be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

We are still confirming the final scope and enforceability of this arbitration provision and class-action waiver (including any opt-out right and any carve-outs required by state law), so these provisions are noted as open items below and may be revised before they are treated as final. Nothing here limits any non-waivable right you have under applicable law.

16. Governing law

Subject to Section 15, these Terms and any dispute relating to them are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and, where applicable, by U.S. federal law. The choice of Florida is based on our principal place of business and is subject to final confirmation by counsel (see open items); mandatory consumer-protection and insurance laws of your home state may still apply to you.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Effective date" above and post the updated Terms on the Site. For material changes, we will take reasonable steps to notify you. Your continued use of the Site after the updated Terms take effect means you accept them.

18. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies referenced in Section 1, are the entire agreement between you and us about the Site.
